About These Terms

By accessing or using the website or portal, you agree to these Terms. If you use the portal for a company, fund or other organisation, you confirm that you are authorised to bind that organisation. If you do not agree, do not use the website or portal.

Eligibility and Portal Accounts

You must be at least 18 years old to create or use a portal account. If a separate customer or investment process imposes a higher or different eligibility test, that test also applies.

You must provide accurate, current information and promptly update it when it changes.

Accounts are personal to the authorised user. You must keep credentials and authentication devices secure, use multi-factor authentication where offered, and must not share access.

Tell us promptly through our Contact Form if you suspect unauthorised access, disclosure or misuse. You remain responsible for activity carried out through your account to the extent permitted by law.

We may verify identity, authority, investor/customer status and compliance information before granting or continuing access.

Permitted Use

You may use the website and portal only for legitimate evaluation of, or dealings with, ABBS as an authorised customer, prospective customer, investor, prospective investor, shareholder, adviser or other approved stakeholder.

You must not:

break any law, regulation, sanction, export-control requirement or third-party right;
gain or attempt to gain unauthorised access, probe security, bypass access controls, introduce malware, overload the service, scrape content or use automated tools without our written permission;
reverse engineer, decompile or derive source code, designs, models or technical know-how except where applicable law does not allow that restriction;
copy, publish, transmit or disclose restricted portal material except as expressly permitted by us or a separate written agreement;
upload unlawful, harmful, misleading, infringing or confidential material you lack authority to provide; or
use portal information to compete unfairly with ABBS, mislead another person, manipulate a market or make an unlawful offer or promotion.

Customer Information and Transactions

Website and portal content is general information unless a document expressly states otherwise. Product descriptions, illustrations, simulations, performance information and indicative pricing are not an offer and may be changed. An order or project is binding only when accepted under the applicable quotation, order acknowledgement, supply agreement or other written contract.

Safety-critical, engineering and performance decisions must not be based solely on website or portal material. You must use appropriately qualified personnel, verify requirements and follow the applicable specification, instructions, approvals and contract.

Investor Information

Unless expressly stated in a document that has been lawfully approved for that purpose, portal information is provided for information only. It is not an offer, invitation or solicitation to buy, sell or subscribe for securities; a financial promotion; investment, legal, tax or accounting advice; or a recommendation that any investment is suitable for you.

Investments can be illiquid and involve the risk of losing all invested capital. Forecasts, targets and other forward-looking statements are inherently uncertain and actual results may differ materially. You must carry out your own due diligence and obtain independent professional advice. Nothing in these Terms limits responsibility that cannot lawfully be excluded, including for fraudulent misrepresentation.

Confidentiality

Portal material may contain commercially sensitive, technical, security-related or inside information. A confidentiality legend or the nature and circumstances of disclosure may identify it as confidential. You must protect confidential material using at least reasonable care, use it only for the authorised purpose, and disclose it only to representatives who need to know and are bound by equivalent duties. Any separate NDA or shareholder/investment agreement prevails if it imposes stricter obligations.

If you receive information that may be inside information or otherwise subject to dealing restrictions, you are responsible for complying with applicable law and any notice accompanying it. Contact ABBS before acting if you are unsure.

Intellectual Property

ABBS and its licensors own the website, portal and their content, including text, graphics, software, designs, data, trade marks and know-how. We grant you a limited, revocable, non-exclusive, non-transferable right to access and use them for the permitted purpose. No other rights are granted.

You retain ownership of material you upload. You grant ABBS and its service providers a non-exclusive right to host, copy, process and use it to operate the portal, respond to you and perform relevant contracts. You confirm that you have the necessary rights and permissions.

Availability, Security and Changes

We aim to keep the website and portal secure and available, but do not guarantee uninterrupted, error-free or vulnerability-free operation. We may suspend, restrict or change access for maintenance, security, legal, operational or commercial reasons. Where reasonably practicable, we will give affected portal users notice of material planned changes.

Links and third-party services are provided for convenience. We do not control them and are not responsible for their content, availability or privacy practices.

Liability

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited.

If you use the website or portal for business purposes, then, to the fullest extent permitted by law, ABBS is not liable for indirect or consequential loss, loss of profit, revenue, business, opportunity, anticipated savings, goodwill or data arising from use of or inability to use the website or portal. ABBS’s aggregate liability arising from the website or portal (excluding liability under a separate transaction contract) will not exceed £1,000. This cap does not apply where prohibited by law.

If you are a consumer, these Terms do not affect your statutory rights. We provide the website and portal with reasonable care and skill, and any exclusion or limitation applies only so far as it is fair and lawful.

Suspension and Termination

We may suspend or terminate access where we reasonably believe there has been a breach, security risk, loss of eligibility or authority, legal or regulatory requirement, or closure of the relevant relationship. On termination you must stop using and, where requested, delete restricted material, subject to legal retention duties and any separate agreement. Provisions intended to survive termination, including confidentiality, intellectual property, liability and governing law, continue.

Privacy and Cookies

Our Privacy Policy, Cookie Policy and Data Protection Statement explain how we handle personal data and use storage or access technologies. Non-essential cookies and similar technologies will be used only in accordance with applicable consent requirements.

Changes to these Terms

We may update these Terms. The current version and its effective date will be posted on the website. For a material change affecting existing portal users, we will provide reasonable notice through the portal or registered contact details. Continued use after the change takes effect constitutes acceptance, unless applicable law requires another form of agreement.

General

You may not transfer your rights under these Terms without our written consent. We may transfer our rights and obligations as part of a reorganisation, financing, sale or transfer of the relevant business, provided this does not reduce mandatory consumer protections. Delay in enforcing a right is not a waiver. If a provision is unlawful or unenforceable, the remaining provisions continue. These Terms do not create a partnership, agency or employment relationship. Only you and ABBS may enforce them, except where a separate agreement says otherwise.

Governing Law and Contact

These Terms and any non-contractual obligations arising from them are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction, except that a consumer resident elsewhere may have mandatory rights to bring proceedings in their home courts.
